Commercial contract advice

The onset of the COVID-19 pandemic placed the UK rail industry in a perilous position, with non-essential passengers advised not to travel on the network. To avoid mass insolvency of train operators and supply chains, while continuing rail operations for essential movement throughout the pandemic, the Department for Transport assembled a small but focussed senior team to urgently develop a short term contractual solution against unrelenting timescales.

UK Rail Advisory played a key role in helping UK Government to stabilise the railway during this unprecedented time. Our team provided commercial and contractual advice to the DfT and:

  • developed core elements of “Emergency Measures Agreements” with DfT’s project team and legal advisers
  • developed the scorecard mechanism and evaluation process to ensure operators remained incentivised to achieve appropriate outcomes
  • advised on the contractualisation and calibration of TOC Performance Fees
  • scoped and managed the quality assurance process for a highly complex series of financial models
